These Terms and Conditions ("Terms") govern your access to and use of Goaldy ("the Service"), operated by Fundlify UG (haftungsbeschränkt)("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

Goaldy is an AI-powered product storytelling and marketing platform that helps users create product briefs, generate content, scout market opportunities, publish product pages, and engage with audiences. The Service utilizes artificial intelligence, including third-party AI providers, to generate content on behalf of users.

2. Account Registration & Security

• You must be at least 16 years of age to create an account.
• You must provide accurate, current, and complete information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use Policy

To ensure a secure environment for all users, all projects and content must adhere to this Acceptable Use Policy. Violation of this policy will result in immediate account termination without prior notice.

Platform Protection & Enforcement

Facilitating prohibited content puts the entire Goaldy platform and its community at risk. We reserve the right to:

• Monitor all platform activity for compliance with this policy
• Remove or disable any content that violates these Terms
• Suspend or permanently terminate any account found in violation
• Report illegal activity to the appropriate law enforcement authorities
• Withhold any pending payouts or benefits from terminated accounts

All enforcement actions are at our sole discretion and are final. No refunds will be issued for terminated accounts.

4. AI-Generated Content — Disclaimer & Liability

THIS SECTION IS CRITICALLY IMPORTANT. PLEASE READ IT CAREFULLY.

Goaldy uses artificial intelligence ("AI") to generate content including, but not limited to, product briefs, marketing sections, visual assets, scouting results, and outreach messages. You acknowledge and agree that:

• AI outputs are provided "as-is" without any warranty of accuracy, completeness, originality, or fitness for a particular purpose.
• You are solely responsible for reviewing, editing, fact-checking, and approving all AI-generated content before publishing, distributing, or using it in any manner.
• Goaldy does not guarantee that AI-generated content is free from errors, biases, inaccuracies, offensive material, or intellectual property infringement.
• Goaldy is not responsible for any consequences, damages, claims, or liabilities arising from your use, publication, or distribution of AI-generated content.
• AI-generated content may not be unique. Similar or identical content may be generated for other users.
• You assume all risk associated with the use of AI-generated content, including legal, reputational, and financial risks.

You agree to indemnify, defend, and hold harmless Goaldy, Fundlify UG (haftungsbeschränkt), and their officers, directors, employees, agents, and affiliates from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of AI-generated content.

5. Intellectual Property

5.1 Your Content

You retain ownership of the original content you upload to Goaldy (text, images, data). By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your content solely for the purpose of providing the Service to you.

5.2 AI-Generated Content

Content generated by AI through the Service is provided to you for your use. However, we make no representations regarding intellectual property ownership of AI-generated outputs. You are responsible for ensuring that your use of AI-generated content does not infringe on third-party rights.

5.3 Our Platform

The Goaldy platform, including its design, code, branding, logos, and proprietary technology, is owned by Fundlify UG (haftungsbeschränkt) and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the platform without our express written consent.

6. Service Plans & Billing

• Goaldy offers free and paid subscription plans with varying feature limits.
• Paid plans are billed on a recurring basis (monthly or annually) as indicated at the time of purchase.
• You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.
• We reserve the right to modify pricing with 30 days' notice.
• No refunds will be issued for partial billing periods or for accounts terminated due to Terms violations.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Notice, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described therein.

8. Third-Party Services

The Service integrates with third-party providers, including:

• Google Cloud Platform & Firebase: Infrastructure, authentication, and data storage
• Google Gemini & OpenAI: AI content generation
• Shopify: E-commerce integration (where applicable)

Your use of these integrations is subject to the respective third-party terms and policies. Goaldy is not responsible for the availability, accuracy, or practices of third-party services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• The Service is provided "as-is" and "as available" without warranties of any kind, whether express, implied, or statutory.
• Goaldy, Fundlify UG (haftungsbeschränkt), and their officers, directors, employees, agents, affiliates, successors, and assigns shall not be liable under any circumstances for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or any other intangible losses, regardless of whether such damages were foreseeable or whether Fundlify was advised of the possibility of such damages.
• Fundlify UG bears zero liability for any outcomes, results, or consequences arising from the use of the Service, including but not limited to AI-generated content, scouting results, outreach outcomes, published pages, or any business decisions made based on information provided by the Service.
• In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, Fundlify's total aggregate liability shall be limited to €10 EUR or the minimum amount permitted by law, whichever is lower.
• We do not guarantee uninterrupted, error-free, or secure operation of the Service. You use the Service entirely at your own risk.

10. Indemnification

You agree to indemnify, defend, and hold harmless Goaldy, Fundlify UG (haftungsbeschränkt), and their officers, directors, employees, contractors, agents, licensors, affiliates, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• Your use of the Service
• Your violation of these Terms
• Your content and published pages
• Your use of AI-generated content
• Your violation of any third-party rights
• Any activity conducted through your account

11. Termination

• You may terminate your account at any time by contacting us or using the account deletion feature.
• We may suspend or terminate your account at any time, with or without cause, and with or without notice.
• Upon termination, your right to use the Service ceases immediately.
• We may retain certain data as required by law or for legitimate business purposes after termination.
• Sections 4 (AI Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law) survive termination.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or by posting a prominent notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. The exclusive place of jurisdiction for all disputes arising from or relating to these Terms or the Service shall be Berlin, Germany. The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Notice, constitute the entire agreement between you and Goaldy.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
• Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures caused by circumstances beyond our reasonable control.
